All information on the AE Marketplace relating to a specific business, buyer or seller (in each case a “Marketplace Participant”) is provided by the Marketplace Participant. Marketplace Participants are solely responsible for confirming the accuracy and sufficiency of information provided and performing due diligence on potential counterparties prior to entering into any transaction. AE makes no warranty as to the accuracy or sufficiency of any information and shall have no liability to any person, including but not limited to Marketplace Participants, in connection with information provided or omitted by a party to another.

All Marketplace Participants the AE Marketplace services acknowledge that they and their potential counterparties may have relationships with Advisors Excel, LLC, AE Wealth Management, LLC, AE Financial Services LLC or their affiliates (collectively, “AE”). In connection with such relationship(s), AE may be in possession of information that may be material to a Marketplace Participant’s decision to enter into a transaction with any other person. AE shall have no duty to any person, including but not limited to Marketplace Participants, to disclose any such information and will not disclose such information except when expressly instructed in writing by the Marketplace Participant to whom such information relates, and any such directed disclosure will be subject to applicable laws concerning the privacy and confidentiality of personal information.

In providing the AE Marketplace services, AE acts solely as a facilitator for Marketplace Participants to introduce themselves to each other. AE is not a broker or agent of any Marketplace Participant and assumes no duty to represent, negotiate for or otherwise participate in any potential transaction on any Market Participant’s behalf.
